This Website is owned and operated by Collective Group Ltd t/a The Villa Collective, a company registered in England, with company number 09489930, and registered office address of 2M, Cooper House, 2 Michael Road, SW6 2AD, London. Access to and use of any information on this Website is conditional on your acceptance of these Terms & Conditions. We recommend you read them carefully and print out and keep a copy of them for your future reference. If you do not wish to accept any part of these Terms & Conditions, then you are not permitted to use the Website.
References in these Terms & Conditions to:
1.1 'Guest' means any person or persons who uses or views the Website, regardless of whether such person makes an actual booking with the Supplier or not;
1.2 'Marks' means trade marks, trade names, logos, URLs and any other identifying marks or slogans of each party, whether or not registered;
1.3 'Membership Fee' means the annual subscription fee payable by the Supplier to TVC for Premium Membership;
'Membership Level' shall mean either Standard Membership or Premium Membership, as chosen by the Supplier.
Premium Membership means the higher level of membership available to Suppliers, full details of which are made available to the Supplier at the time of application.
1.4 'Referral Fee' as defined at clause
1.5 'Standard Membership' means the basic level of membership available to all Suppliers, full details of which are made available to the Supplier at the time of application.
1.6 'Supplier', 'you' and 'your' means the Supplier/supplier of the Villa named in the Supplier Profile
1.7 'Supplier Profile' means your personal profile on the Website
1.8 'Terms & Conditions' means these Supplier terms and conditions;
1.9 'TVC', 'we', 'us', 'our' means the Collective Group Ltd t/a The Villa Collective;
1.10 'Referrals Team' means the referral consultant who works for TVC to assist guests by suggesting properties for them to book
1.11 'Villa' means the property, contents and all facilities as detailed in the Villa Dashboard;
1.12 'Villa Dashboard' means the private online profile for the villa which can be viewed, completed and amended by the Supplier;
1.13 'Villa Listing' means the public online profile for the Villa as available and viewable to Guests;
1.14 'Website' means www.villacollective.com.
2.1 These Terms & Conditions, along with Membership Level document and the information you provide in the Supplier Profile and the Villa Dashboard form the basis of the contract between the Supplier and TVC. In order to register with the Website, you will be required to confirm that you have read and accept these Terms & Conditions and agree to be bound by them and at that stage, a legally binding contract between you and TVC shall exist.
2.2 The person accepting these Terms & Conditions warrants that they have full legal authority to accept and enter into this contract with TVC on behalf of the Supplier and to legally bind the Supplier to the obligations herein, and there is no restriction known to the Supplier of any kind preventing them from entering into this contract with TVC. Please note that where the person accepting these Terms & Conditions as an intermediary acting on behalf of the Supplier, you will be required to sign a separate agreement ‘Host Authorisation Form’ confirming you have the authority to enter into this contract on behalf of the Supplier.
2.3 The contract between TVC and the Supplier shall continue in full force and effect on an annual rolling basis, subject to confirmation by The Supplier of the Membership Level they choose.
2.4 TVC shall be entitled to terminate the contract between the Supplier and TVC at any time and for any reason upon giving written notice to the Supplier.
2.5 In the event of any breach by the Supplier of these Terms & Conditions, TVC shall be entitled to immediately terminate the contract between TVC and the Supplier upon written notice to the Supplier, without any liability to the Supplier. Such termination shall be without prejudice to any other rights or remedies available to TVC.
2.6 TVC shall be entitled to immediately terminate the contract upon written notice to the Supplier where, in TVC's reasonable opinion, there is any repeated or persistent failure by the Supplier to provide service of a sufficiently high standard to Guests.
2.7 The Supplier shall be entitled to terminate the contract between TVC and the Supplier upon giving written notice of termination to TVC.
2.8 Termination of the contract for any reason whatsoever shall result in deletion of the Villa Listing and Villa Dashboard from the Website from the effective date of termination. No refund of the Membership Fee shall be payable in any circumstances. Termination shall not affect any bookings made by the Supplier, such bookings being a separate contract between the Supplier and the Guest. In relation to any such bookings taking place after termination, TVC shall be permitted to draw to the attention of any Guests any material failings of the Supplier whether or not such failings led to the termination of the contract.
2.9 Termination of this contract for any reason will not affect the rights or liabilities accrued prior to termination or expiry, or any terms intended expressly or by implication to survive termination or expiry. For the avoidance of doubt the benefit of any indemnity given under these Terms & Conditions shall survive termination.
2.10 Termination of the contract for any reason whatsoever shall result in all Referral Fees becoming immediately due and payable by the Supplier.
3.1 TVC shall feature the Villa Listing on the Website subject to Membership Level, and where the Supplier has chosen Premium Membership, payment of the Membership Fee and these Terms & Conditions.
3.2 The Supplier accepts that the Website is merely an advertising portal permitting the Supplier to advertise its Villa thereon and facilitating communication between the Supplier and Guests in relation to Villa bookings. TVC accepts no liability in relation to the Villa, any bookings made or any contract entered into between the Supplier and a Guest in relation to the provision of a Villa. For all bookings, the Supplier's contract will be with the Guest making the booking and in no circumstances shall TVC be a party to any contract with the Guest or between the Guest and the Supplier, nor shall TVC have any liability to either party in relation to any such contract.
3.3 Where a Villa is recommended to a Guest by TVC’s Referrals Team, the Supplier accepts that TVC is acting in good faith at all times and is simply advising the Guest of the most suitable Villa for the Guest’s needs, based on the information provided to TVC by the Guest. TVC does not accept responsibility for the provision of the Villa nor do we accept any responsibility if the Guest is not happy with any aspect of the Villa and service or if the Supplier is unhappy with the Guest for any reason whatsoever.
3.3 TVC shall not be responsible for communicating with any Guests nor shall TVC mediate or assist with any disputes between the Supplier and Guests.
4.1 In order to use the Website, the Supplier must choose their Membership Level and apply to register with TVC as a 'Supplier' by creating an online account on the Website and submitting brief details to TVC about the Supplier and the Villa, including the Supplier's name, , email address, mobile telephone number and other contact details, as well as brief details of the Villa(s). Where the Supplier is a company, the Supplier must also provide its full company name, registered office address, company registration number and country of incorporation.
4.2 TVC shall then consider the Supplier's application and notify the Supplier of whether their application has been accepted. TVC reserves the right to decline an application for any reason whatsoever, entirely at its own discretion.
4.3 If TVC accepts the Supplier's application, TVC will notify the Supplier and invite the Supplier to complete the Villa Dashboard with further details, as well as complete the applicable Due Diligence checks and if applicable, make payment of the Membership Fee.
4.4 Due Diligence: the Supplier will be required to:
(i) speak with the TVC on-boarding team to discuss their ownership or relationship to the Villa. The Supplier must read and adhere to these T&C's
(ii) TVC may ask you to submit a copy of their passport (or where the Supplier is a company, a director’s passport) and proof of ownership of the Villa, (e.g. a utility bill) at the time of applying for registration. The Supplier must ensure that all details provided are accurate, true and error-free and all documents submitted are genuine
(iii) Where the Villa is to be provided and/ or managed by a Supplier who is not the owner of the Villa, complete a 'Supplier/Host Authorisation Form', which is a legally binding contract between TVC and the Supplier to certify that the Villa will be managed by the Supplier under the full authorisation and knowledge of the owner of the Villas and that the owner of the Villa gives the Supplier full permission to list and manage the Villa on the Villa Dashboard. The Supplier must ensure that all details are accurate, true and error free and that all information submitted is genuine. The Supplier must ensure the owner of the Villa is aware that their Villa is advertised by TVC.
4.5 Payment: where the Supplier has chosen Premium Membership, the Supplier must pay the applicable Membership Fee which will be notified to the Supplier at the time of registration, using the Stripe online payment gateway, on the Website.
4.6 In the event the Supplier fails to pay the applicable Membership Fee (for Premium Membership) by the date stipulated to the Supplier, or in the event the Supplier fails to complete the due diligence checks to TVC's satisfaction, TVC reserves the right to reject the Supplier's application and delete their online account without notice.
5.1 Upon acceptance of the Supplier's application, the Supplier will be required to complete the Villa Dashboard and submit this to TVC. It is the Supplier's sole responsibility to complete the details of the Villa on the Villa Dashboard and warrants that it shall complete all details fully, accurately and without errors and that all details submitted shall be true, genuine, up to date and shall not be misleading in any way.
5.2 TVC shall not check the details for accuracy or errors and this remains the sole responsibility of the Supplier. In the event any details on the Villa Dashboard become outdated or are no longer accurate for any reason whatsoever, or the Supplier becomes aware of any errors, it is the Supplier's responsibility to amend all details and rectify all errors to ensure the Villa Dashboard remains true, accurate and up to date at all times.
5.3 TVC reserves the right to require the Supplier to amend the details in the Villa Dashboard or Villa Listing, for any reason whatsoever, or make certain minor amendments itself, without notice to the Supplier. Furthermore, TVC reserves the right to re-write the overview section for the Villa to avoid duplication for SEO or other such purposes.
5.4 The Supplier warrants that all photographs submitted are a true likeness of the Villa, its features, facilities and contents. In the event any photographs featuring on the Villa Dashboard no longer show a true likeness of the subject matter, the Supplier shall remove or update the photographs without delay. TVC reserves the right to reject any photographs which are not of a good quality or which TVC has reason to believe are not a true likeness of the Villa. The Supplier warrants that it holds all necessary consents and authorisations to allow TVC to publish any photographs provided to it by the Supplier either on the Website or as part of any other advertising material that TVC may publish from time to time.
5.5 The Supplier will have the opportunity to include a virtual tour of the Villa as part of the Villa Listing. Should the Supplier opt to include this virtual tour, the Supplier accepts that this service is provided by a third party and as part of a separate contract between the Supplier and that third party, and TVC is not a party to any such contract and has no liability to the Supplier for the provision of the virtual tour. Inclusion of a visual tour on a Villa Listing will be subject to TVC's prior consent.
5.6 The details provided by the Supplier in the Villa Dashboard shall then be used to create the Villa Listing which can be viewed by the Guest. The relevant details from the Villa Dashboard shall be transferred to the Villa Listing without review or amendment by TVC. Accordingly, the Supplier warrants that the Villa Listing is and remains for the duration of publication accurate, free from errors and typos, not misleading to Guests and compliant with all applicable laws and regulations relating to both consumer advertising and the Villa.
5.7 The Supplier warrants and represents that it is licensed to use the entire contents and subject matter contained in the Villa Listing, including, without limitation, (i) the names and/or pictures of persons; (ii) any copyright in the material, trademarks, service marks, logos, and/or depictions of trademarked or service marked goods or services, or any other intellectual property rights; and (iii) any testimonials or endorsements contained therein.
5.8 In submitting the details of the Villa to TVC, the Supplier warrants and represents to TVC that:
(i) It has the right to publish all of the contents of the Villa Listing and can grant to TVC such right, and that such publication will not: (a) breach the confidence or rights of privacy of, or, without limitation, infringe the copyright, database rights, trademark rights, patent rights, moral rights or any other intellectual property rights of, any third party; or (b) violate any applicable law or regulation;
(ii) It does not collect or use personal information without permission from the user and shall at all times comply with the applicable data protection laws and regulations;
(iii) The Villa Listing and any website linked to it:
- will not contain anything that is indecent, obscene or unlawful;
- will comply will all applicable law;
- will not contain any defamatory, false, misleading or untrue material or material which abuses, harasses, threatens or is otherwise offensive to any other person;
- will not restrict or inhibit any user from using the Website.
- will not contain any virus or other material likely to harm the Website;
- will not contain any other content or material which is likely to harm the reputation of TVC.
5.9 TVC do not permit the duplicate listing of any Villas. In the event that the Supplier requests TVC to advertise a Villa that is already being advertised by TVC, TVC will have the right to reject any such proposed, duplicate listing. If the supplier wishes to take over an existing listing of a Villa they must first provide TVC with confirmation in writing from the owner of the Villa in question that it is the owner’s intention for the listing to be handled by the ‘new’ Supplier going forward.
5.10 The Supplier agrees that all videos and photographs made available on the Website will be unbranded
5.11 The Supplier warrants that it shall supply the Villa at the best available market rate and the Villa will not be listed at a higher price anywhere else, including but not limited to a competitor’s website or the Supplier’s own website.
6.1 Where the Supplier has chosen Premium Membership, upon acceptance by TVC of the Supplier's application, the Supplier must pay the Membership Fee to TVC in return for TVC displaying the Villa Listing on the Website using the online payment gateway, Stripe, on the Website.
6.2 Should the Supplier wish to renew their Premium Membership, the Membership Fee is payable on an annual basis and the Supplier must ensure payment of the Membership Fee on an annual basis to continue with their Premium Membership. Failure to pay the Membership Fee by the annual due shall result in the Supplier’s membership level being automatically downgraded to Standard Membership.
6.3 Membership Fees are non-refundable in the event the Supplier chooses to remove the Villa Listing from the Website and/or terminate its contract with TVC, for any reason whatsoever.6.4 The Supplier agrees to pay TVC a Referral Fee in accordance with the Supplier’s chosen Membership Level.
6.4 Referral fees will be payable to TVC immediately upon receipt of direct and non-direct bookings depending on the Supplier’s chosen Membership Level. A direct bookings is any booking that occurs via the portal only. Non-direct bookings are those referred by the TVC referral team. TVC will ask Suppliers for 50% of the Referral Fee upon receipt of deposit and 50% of the Referral Fee once the Guest has paid the final balance. TVC act in good faith with Suppliers and Guests on their referral scheme and any Supplier found to be negligent, obstructive or otherwise trying to avoid or withhold payment of a Referral Fee will be removed from the Website and this contract will be terminated immediately by TVC without liability.
6.5 The Referral Fee will be a percentage of the final agreed booking price as specified in the applicable Membership Level. The Referral Fee will be taken from the final booking price and will apply even if discounts are offered to Guests.
6.6 In the event a booking occurs through a sub-agent contacting TVC, all agreed Referral Fees must be paid to TVC. Villas offering split commission to these agents must ensure ALL of TVC referral fees are paid as per their membership agreement. No negotiation applies.
6.7 Where a Supplier makes a booking with a Guest for a villa which is not advertised on the Website, but the initial introduction to the Guest was through TVC, such bookings will still be subject to the TVC Referrals Fees.
6.8 Multiple villa listings will be taken at the discretion of TVC. TVC withholds the right to choose the villas they wish to include on the TVC platform.
6.9 In the event of TVC being approached by a third party or agency with a client, TVC will ask for double the agreed referral fee to cover the cost of the 3rd parties fee requirement. Suppliers can accept this at their discretion.
7.1 The entire copyright and any other intellectual property rights in the Website throughout the world shall be and shall remain the sole and exclusive property of TVC. The Supplier will not acquire any title, copyright or other proprietary rights in the Website.
7.2 As between TVC and the Supplier, all copyright and other intellectual property rights in the Villa Listing shall belong to the Supplier.
7.3 Each party acknowledges and agrees that all Marks used by the parties, remain that party's sole and exclusive property and subject to clause 7.4, nothing in these Terms & Conditions does or is intended to transfer ownership of any Mark to the other.
7.4 For the purpose of these Terms & Conditions, the Supplier grants to TVC a non-exclusive royalty-free licence for the term of this Agreement to use the Supplier's Marks solely for the purpose of TVC performing its obligations under these Terms & Conditions.
7.5 Each Party agrees that they shall not acquire any goodwill or rights to the other Party's Marks or brands.
7.6 The Supplier shall not, without obtaining TVC's prior written consent use the names, Marks or logos of TVC or the Website in any form of advertising, marketing or publicity (including but not limited to paid listings in search engines, meta tags, keywords, or links) or otherwise in connection with any PPC (pay per click) or SEO (search engine optimisation) activities. The Supplier agrees that unless expressly permitted to do so by TVC in writing, it shall do nothing which is intended to, or may, influence the results for internet searches involving TVC's Marks or any other TVC names or trademarks (or those which are similar), which may prejudice the rights or interests of TVC.
7.7 The Supplier hereby permits TVC to use any photographs uploaded by the Supplier on other areas of the Website and in other marketing and promotional materials, as TVC sees fit, and entirely free of charge.
7.8 The Supplier acknowledges that all conversations between the Supplier and Guests made through the Website may be monitored and/or stored.
8.1 The Supplier must ensure that the availability calendar for the Villa in the Villa Listing is and remains up to date at all times.
8.2 The Supplier must ensure he complies with all applicable laws and regulations in its dealings with Guests, including but not limited to those relating to data protection and direct marketing. In the event the Supplier send Guests any marketing communications and alerts, the Supplier must only do so with the Guest's consent and must comply with any request from the Guest in the event they ask the Supplier to stop sending such communications.
8.3 The Supplier or the TVC Referral Team (as agreed) shall be responsible for dealing with all Guest communications and enquiries, and in the instance the online booking wizard is active, must make the booking with the Guest using the online Booking Wizard and collecting the necessary payment from the Guest. The Booking Wizard can only be generated for the lead guest (being the party leader). In the instance the booking wizard is not working, Villa Suppliers must make the booking with the Guest using its standard booking procedure, including collecting the necessary payment from the Guest.
8.4 The Supplier must ensure the Booking Wizard is completed fully and accurately and details of the booking are sent to the Guest for approval. A booking is not confirmed until the Guest has approved the booking form, accepted the applicable terms and conditions and paid the applicable deposit and the Booking Wizard has generated and sent a confirmation invoice to the Guest. If the booking wizard is not available, the Villa Supplier is responsible for all documentation and invoices, ensuring the Guest has all the information they require. All Villa Suppliers must receive a signed copy of their own contract and the deposit from the Guest to confirm their bookings.
8.5 Where the Guest has paid a deposit only, a balance reminder is sent to the Guest 14 days before the balance payment is due. The Booking Wizard will automatically issue a confirmation invoice upon receipt of the deposit payment from the Guest.
8.6 For the avoidance of doubt, should the Supplier choose to send the Guest their own booking contract and terms and conditions and, therefore, not make use of the TVC Booking Wizard the Supplier will nevertheless still remain bound by and will be obligated to adhere to these Terms and Conditions.
8.7 It is the Supplier's responsibility to ensure it advertises a price for the Villa in the Villa Listing and that the price cannot be found cheaper on a competitor’s site. Approximate and guide prices are permitted provided they include all taxes, fees and non-optional extras relating to the Villa. Where local taxes are payable by Guests, this must also be shown in the Villa Listing, making it clear when the payment must be made by the Guest. Accurate prices must be sent to the Guest prior to any booking being confirmed.
8.8 It is the Supplier's responsibility to fulfil the Guest's booking in accordance with the Supplier's contract with the Guest and ensure the Villa is provided as detailed and in accordance with the Villa Listing, including complying with the cancellation policy as specified on the Villa Listing (in the event the Guest cancels their booking). TVC shall not be liable for any breach or failure by the Supplier to properly fulfil its contract with the Guest.
8.9 The Supplier will ensure that the Villa is as detailed in the Villa Listing, clean, in full working order and safe for occupation and use by Guests and all other third parties.
8.10 The Supplier certifies that the Villa conforms to all planning, licensing and other requirements as may be imposed on it by national, local or other laws or regulations for the purpose of its use as tourist accommodation. The Supplier certifies that the Villa complies with national and trade laws, regulations and codes of practice, relating to hygiene, fire, the general safety and security of those using the Villa.
8.11 The Supplier warrants that it holds all the necessary local valid operating licenses needed in respect of the Villa and provision thereof to tourists and shall ensure that these are maintained as long as the Villa remains listed on the Website.
8.12 The Supplier will ensure that all personnel provided by the Supplier (whether or not employed by the Supplier) in connection with the provision of the Villa will be appropriately qualified, experienced and capable of performing competently the work or jobs for which they are employed.
8.13 The Supplier shall permit TVC's representatives to inspect the Villa at any reasonable time on request.
8.14 All Villas must have a 'local house manager', which may or may not be the Supplier themselves, to assist Guests during their stay at the Villa. All Guests must be provided with the contact details for the local house manager prior to their stay, and the local house manager must be contactable at all times, familiar with the Villa and available to visit the Villa promptly and at short notice throughout the Guest's stay.
8.15 The Supplier must provide Guests with route and other directions needed by the Guest to access and stay at the Villa in good time before the Guest's stay and ensure the Guest can access the Villa easily and promptly at arrival.
8.16 The Supplier must advise Guests of any intended building works, refurbishments or withdrawal of any facilities at the Villa, or anything else which might affect the Supplier's proper provision of the Villa to the Guest as soon as these details are known and make adequate alternative arrangements if necessary to accommodate Guests in accommodation of an equal or higher standard, and/or compensate Guests as necessary, all additional costs to be borne by the Supplier.
8.17 It is the Supplier's responsibility to deal with complaints made by Guests relating to the Villa and/or the Guest' stay and in the event TVC receives any such complaint from a Guest it will be forwarded on to the Supplier to deal with. TVC shall not deal with any such complaint on behalf of either the Supplier or the Guest and will not arbitrate between the Supplier and Guest should either party refuse to deal with the other. However, TVC reserves the right to request details of any such complaint from either party for the purposes of monitoring Guest complaints and quality assurance. The rates offered to the Guest must include all taxes, charges, dues, fees, utilities and all other sums of whatever nature which relate to the Villa.
8.18 The Villa must at all times be offered and available to Guests with vacant possession, unless otherwise expressly agreed with the Guest.
8.19 All facilities and amenities included as part of the Villa Listing must be in good working order and free to use unless otherwise expressly stated on the Villa Listing.
8.20 The Villa must provide enough proper beds in accordance with the 'sleeps up to' Villa Listing figure and sofa beds, camp beds and suchlike are not acceptable.
8.21 The Supplier agrees that it shall not discriminate against any Guest or potential Guest on the basis of sex, race, religion or sexuality and the Supplier must not refuse any booking on this basis. If TVC suspects any Supplier of discriminating against a Guest or potential Guest for any such reason, TVC reserves the right to terminate this Agreement without liability or notice to the Supplier.
9.1 The Supplier accepts that TVC cannot ensure that the Villa Listing is visible in all browsers and versions of these browsers. TVC shall use its reasonable endeavours to ensure that the Villa Listing is visible in the most commonly used internet browsers.
9.2 TVC does not guarantee the success of any Villa Listing published on the Website and does not guarantee that the Supplier will receive any enquiries or bookings from Guests, and the Supplier accepts that TVC shall have no liability in this respect. Villas will generally be listed by price, however TVC does not guarantee the placing of the Villa Listing in any specific location on the Website or the ranking of the Villa Listing on the Website or in any search results on the Website.
9.3 In no event shall TVC be responsible for interruptions in the operations of, or access to, the Website resulting from events or circumstances beyond TVC's control.
9.4 Without prejudice to any other provision in this Agreement, TVC's entire liability to the Supplier arising out of or in connection with these Terms & Conditions, including without limitation breach of contract, misrepresentation (except where fraudulently made) and tort (including negligence but subject to clause 9.7), is limited to the Membership Fee and Referral Fees paid by the Supplier under these Terms & Conditions in the preceding 12 months.
9.5 TVC expressly excludes liability for any indirect, special, consequential or economic loss or damage which may arise out of or in relation to these Terms & Conditions and/or the Website, whether arising from any failure to publish the Villa Listing in a timely manner or at all, or otherwise, and for any loss of profits, revenue, anticipated savings, business, contracts, production or goodwill even if TVC has been advised as to the possibility of such damages.
9.6 TVC will use reasonable skill and care in performing its duties hereunder but subject thereto: (i) TVC hereby excludes any warranty, express or implied, as to the performance, quality, accuracy or fitness for a particular purpose of the Website; (ii) TVC will not be liable for any losses or damages arising, whether in tort (including negligence), contract or otherwise, directly or indirectly as a result of use of the Website including without limitation from any technical malfunction, computer error, defect in software, loss of data or other damage or disruption to the Website; (iii) TVC makes no warranty that the contents of the Website are free from infection by viruses, worms or trojans or anything else that has contaminating or destructive properties; and (iv) certain links on the Website may lead to resources located on servers maintained by third parties over whom TVC has no control and TVC accepts no liability arising from access to or use of any material contained on those servers.
9.7 TVC does not limit or exclude liability for death or personal injury caused by negligence, fraudulent misrepresentation or anything else which cannot be excluded under applicable law.
9.8 TVC reserves the right at any time, without notice and without liability, to remove any Villa Listing from the Website if it reasonably believes the Villa Listing would or would be likely to put the Supplier in breach of these Terms & Conditions or would otherwise be detrimental to the interests or goodwill of TVC. Any such action shall be without prejudice to TVC's other rights and remedies under these Terms & Conditions.
10.1 Without prejudice to its liability to indemnify TVC (and its employees), the Supplier shall, at its own cost, effect and maintain, at all times during the validity of these Terms & Conditions, with a reputable insurance company, comprehensive business and liability insurance to cover all risks relating to the Villa and all risks arising out of the performance of these Terms & Conditions including (but not limited to) any liability for damages for the death, injury or illness of Guests, employees, agents, sub-contractors howsoever arising. The Supplier shall on demand provide a copy of all insurance policies and schedules to the same to TVC together with a copy of the receipt for the payment of the current premium. TVC will not check the policy documentation for suitability and it remains the responsibility of the Supplier to ensure that they are adequately insured at all times. The Supplier shall forward any renewal documents to the TVC upon request.
12.1 Neither party shall be liable to the other for any contractual default which they could not foresee or avoid. These events can include, but are not limited to war, threat of war, civil strife terrorist activity and its consequences or the threat of such activity, riot, the act of any government or other national or local authority including port or river authorities, industrial dispute, lock closure, natural or nuclear disaster, fire, chemical or biological disaster and all similar events outside the affected party's or their suppliers control.
12.2 If either party is affected by Force Majeure it shall immediately notify the other party in writing of the matters constituting force majeure and shall keep that party fully informed of their continuance and of any relevant change of circumstances whilst such force majeure continues. The party affected by force majeure shall take all reasonable steps available to minimise the effects of the force majeure on the performance of its obligations under this contract.
